Terms & Conditions
These Terms of Service outline the rules and conditions that apply when working with Glass Full Solutions. By engaging our services, you agree to the following terms.
Terms of Service Agreement
1. Scope of Services
Glass Full Solutions provides professional support services including, but not limited to:

Administrative support

Daily operations
-
Scheduling
-
Policy writing
-
Invoicing
-
Social media management
Additional services outside this scope may be agreed upon in writing by both parties.
2. Revisions and Change Requests

Minor revisions are included as part of the agreed services.

Substantial changes or new requests may be billed at the standard hourly rate, with prior approval.
3. Term of Agreement
This Agreement begins on ____________________ and continues until terminated by either party as outlined in Section 7 (Termination).
4. Payment Terms

Rate: $50 per hour
-
Invoicing: Weekly (minimum 3 hours per week)

Payment due: Within 14 days of receipt of invoice (by e-transfer)

Late payments: 2% per month (24% annually), or the maximum allowed by law
-
Minimum billing: The 3-hour minimum will be billed regardless of whether full services are used in a given week
5. Confidentiality
Confidential information does not include information that is:

Publicly known
-
Rightfully received from a third party without restriction
-
Independently developed without use of confidential information
The Client agrees to maintain confidentiality regarding Glass Full Solutions’ proprietary tools, processes, and trade secrets.
6. Independent Contractor
Glass Full Solutions is an independent contractor, not an employee. This Agreement does not create an employer-employee relationship, partnership, or joint venture.
7. Termination

Either party may terminate this Agreement with 30 days’ written notice.

Glass Full Solutions will be paid for services rendered up to the termination date.

Early termination by the Client will result in a $150 cancellation fee, payable within 14 days of invoice.
8. Limitation of Liability
Glass Full Solutions shall not be liable for any indirect, incidental, or consequential damages. Liability is limited to the total amount paid under this Agreement.
9. Non-Solicitation Clause
The Client agrees not to solicit or hire any employee, contractor, or subcontractor of Glass Full Solutions during this Agreement and for 12 months after termination.
10. Unexpected Interruptions (Force Majeure)
Neither party is liable for failure to perform due to circumstances beyond reasonable control, including illness, natural disasters, government restrictions, or internet failure.
11. Amendments
This Agreement may only be modified in writing and signed by both parties.
12. Governing Law
This Agreement is governed by the laws of the Province of Ontario, Canada.
13. Severability
If any part of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full effect.
14. Entire Agreement
This Agreement represents the complete understanding between both parties and overrides any prior agreements, discussions, or representations—whether written or verbal—relating to the subject matter herein.
